Terms of Service

Scriply Terms of Service
These Terms of Service ("Terms") are an agreement between you and Chiron Labs ("Scriply", "we", "us" or "our"), a NJ entity. They govern your use of the Scriply web app, back office, APIs and related services (together, the "Services").
Please read these Terms carefully. They include an agreement to resolve disputes by individual arbitration and a waiver of class actions (see "Disputes"). By creating an account or using the Services, you accept these Terms and our Privacy Policy.
Who may use Scriply
- You must be at least 18 years old and able to form a binding contract.
- Scriply is for businesses. When you use the Services for an organization ("Organization"), you confirm that you are authorized to act for it and to bind it to these Terms, and "you" includes that Organization.
- You may not use the Services if you, or the Organization you act for, are on a U.S. government sanctions list, or are located in, organized under the laws of, or ordinarily resident in a country or region subject to comprehensive U.S. sanctions.
- We may decline to open, or may close, an account at our discretion, including where we cannot verify an Organization or the people behind it.
Your account
- Keep your sign-in details secure and do not share them. You are responsible for everything done through your account.
- Give us accurate, current and complete information, and keep it up to date.
- Tell us at support@scriply.io as soon as you suspect someone has used your account without your permission.
- An Organization's administrators decide who belongs to it and what each member may do. Each member accepts these Terms for themselves.
What Scriply does
Scriply is software that helps businesses keep their books and work with their receivables and payables. Depending on your plan and what your Organization turns on, the Services can:
- keep a ledger of your accounts, customers, vendors, invoices, bills and transactions;
- sync records with accounting software you connect, such as QuickBooks Online;
- read transactions and balances from bank accounts you connect through Plaid, and from blockchain wallet addresses you add;
- read bills and invoices from documents you upload or from an email inbox you connect, using automated tools, including third-party AI models, that may make mistakes and whose providers may use what they read as our Privacy Policy describes;
- help you prepare and send payments in digital assets such as USDC, which you approve and sign from your own wallet; and
- represent invoices as tokens on a public blockchain ("tokenization"), under the separate terms shown when you tokenize.
Some features carry their own terms, such as the tokenization terms and the terms shown when you connect a wallet. Those terms apply in addition to these Terms, and they control where they conflict with these Terms for that feature.
What Scriply is not
- Not a bank or money transmitter. Scriply does not hold, receive or transmit your money or digital assets. Payments in digital assets move between wallets you and your counterparties control, and you approve every one.
- Not a custodian of your assets. You keep control of your wallets and their keys. We never ask for your private keys or recovery phrases, and we cannot reverse a blockchain transaction.
- Not an adviser. Nothing in the Services is accounting, tax, legal, investment or financial advice. You are responsible for your books, your tax filings and your financial decisions, and for checking what the Services produce before you rely on it.
- Not a broker, exchange or investment offering. Scriply does not offer, sell or recommend any security or investment, and tokenizing an invoice does not make Scriply a party to the obligation it represents.
Verification and compliance
- To use some features, an Organization must complete a business verification ("KYB"), and the people who own or control it must verify their identity. We use the identity verification provider Persona for this; the documents and identity numbers you give it stay with Persona and are not stored by Scriply.
- We screen Organizations and their owners against sanctions lists, and may ask for more information, pause features or close accounts to meet our legal obligations.
- You agree that the information you give for verification is true, and that you will tell us when it changes.
Your data
- Your content stays yours. "Your Content" means the records, documents and other information you or your connected services put into Scriply. You keep all rights to it.
- What you allow us to do with it. You give us a worldwide, non-exclusive, royalty-free license to host, copy, process and display Your Content only to provide, secure and improve the Services for you, and as described in our Privacy Policy.
- Connected services. When you connect a third-party service (such as QuickBooks Online, Plaid or Gmail), you authorize us to access it on your behalf to provide the Services. Your use of that service is governed by its own terms, and we are not responsible for it. You can disconnect it at any time.
- Public blockchains. Anything recorded on a public blockchain, such as wallet addresses, transfers and tokens, is public and permanent. We cannot change or remove it.
- Aggregated data. We may use data that has been aggregated and de-identified so that it no longer identifies you or your Organization, for example to measure how the Services are used.
Acceptable use
You will not, and will not let anyone else:
- use the Services for anything unlawful, fraudulent or deceptive, including money laundering, terrorist financing, sanctions evasion or the creation of false invoices or records;
- upload content you have no right to share, or that infringes someone else's rights;
- access another person's account or data without permission;
- probe, scan or test the vulnerability of the Services, or get around any security or usage limit, except under a written agreement with us;
- copy, reverse engineer or resell the Services, or use them to build a competing product;
- send spam, malware or automated traffic designed to overload the Services; or
- misrepresent your identity, your Organization or your authority to act for it.
Fees
- Some features may require a paid plan. If so, we will show you the price before you agree to pay, and the terms of that plan will apply.
- Fees do not include taxes, which you are responsible for, except taxes on our income.
- Network fees ("gas") charged by a blockchain for transactions you sign are paid by you to that network, not to Scriply.
- We may change our prices with at least 30 days' notice. A change takes effect at the start of your next billing period.
Third-party services and digital assets
- The Services rely on third parties we do not control, including blockchains, wallets, stablecoin issuers, banks, Plaid, accounting software and price sources. We are not responsible for their availability, accuracy, fees or actions.
- Digital assets carry risks, including loss of keys, mistaken addresses, smart contract or network failures, forks, changes in law, and a stablecoin losing its peg. You accept these risks when you use digital assets with the Services.
- Prices and exchange rates shown in the Services come from third-party sources, are for information only, and may be delayed or wrong.
Our intellectual property
The Services, including their software, design and content (other than Your Content), belong to Scriply and its licensors. We give you a limited, non-exclusive, non-transferable right to use them under these Terms while your account is open. If you send us feedback or suggestions, we may use them without any obligation to you.
Changes to the Services and these Terms
- We may add, change or remove features. If we remove a feature you pay for, we will tell you in advance where we reasonably can.
- We may update these Terms. When we do, we will publish the new version and ask you to accept it before you continue using the Services. If you do not accept, you may stop using the Services and close your account.
Suspension and termination
- You may stop using the Services and ask us to close your account at any time.
- We may suspend or close your account, or your Organization's, if you breach these Terms, if we are required to by law, or if your use creates a risk for Scriply, other users or third parties. Where the law and the circumstances allow, we will tell you why and give you a chance to fix the problem first.
- When an account closes, your right to use the Services ends. We keep Your Content as our Privacy Policy describes, and you may ask us to delete it at any time. Export any reports you want to keep before your account closes.
- Anything recorded on a blockchain stays there after an account closes.
- Sections that by their nature should survive termination survive it, including "Your data", "Disclaimers", "Limitation of liability", "Indemnity" and "Disputes".
Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT THE LAW ALLOWS, SCRIPLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE, THAT DATA SYNCED OR EXTRACTED BY AUTOMATED TOOLS WILL BE ACCURATE OR COMPLETE, OR THAT ANY BLOCKCHAIN OR THIRD-PARTY SERVICE WILL WORK AS EXPECTED.
Limitation of liability
- TO THE FULLEST EXTENT THE LAW ALLOWS, SCRIPLY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL OR DIGITAL ASSETS, HOWEVER CAUSED, EVEN IF WE WERE TOLD THEY WERE POSSIBLE.
- SCRIPLY'S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES IS LIMITED TO THE GREATER OF THE FEES YOU PAID SCRIPLY IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR US$100.
- These limits do not apply where the law does not allow them.
Indemnity
You will defend and indemnify Scriply and its officers, employees and agents against any third-party claim, and the losses and reasonable costs that follow from it, arising from Your Content, your use of the Services, your breach of these Terms, or your violation of any law or anyone else's rights.
Disputes
- Talk to us first. Before starting a formal dispute, contact us at support@scriply.io and give us 30 days to try to resolve it informally.
- Arbitration. Any dispute that is not resolved informally will be settled by binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, before a single arbitrator remotely. Judgment on the award may be entered in any court with jurisdiction.
- No class actions. You and Scriply each bring claims only in an individual capacity, and not as a plaintiff or class member in any class, collective or representative proceeding.
- Exceptions. Either party may bring an individual claim in small claims court, or seek an injunction in court to protect its intellectual property or stop unauthorized access to the Services.
- Opting out. You may opt out of arbitration by emailing support@scriply.io within 30 days of first accepting these Terms, saying that you opt out.
- Governing law. These Terms are governed by the laws of the State of NJ and applicable U.S. federal law, without regard to conflict-of-law rules. Any claim not subject to arbitration will be heard only in the state or federal courts located in Essex, NJ, and you and Scriply consent to their jurisdiction.
General
- Entire agreement. These Terms, the Privacy Policy and any feature terms you accept are the whole agreement between you and Scriply about the Services.
- Assignment. You may not transfer these Terms without our written consent. We may transfer them in connection with a merger, acquisition or sale of assets, or to an affiliate.
- Severability and waiver. If any part of these Terms is found unenforceable, the rest stays in effect. Our not enforcing a term is not a waiver of it.
- Force majeure. Neither of us is liable for delays or failures caused by events beyond reasonable control, including outages of blockchains, banks or cloud providers.
- Notices. We may send you notices by email or in the Services. You may send us notices at support@scriply.io.
- Export controls. You will follow all applicable export control and sanctions laws when using the Services.
